1. Introduction

Welcome to SmartLiving's Terms of Service. These terms govern your use of our smart home products and services in Tamale, Ghana and elsewhere. By accessing or using SmartLiving products, software, or services ("Services"), you agree to be bound by these terms. If you do not agree with any part of these terms, you may not use our Services.

Our Services are designed to enhance your living experience through intelligent home technology. This document outlines the rules and guidelines for using these Services responsibly and effectively.

2. Acceptance of Terms

By accessing our website, purchasing our products, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, as well as our Privacy Policy. If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new terms.

3. Service Description

SmartLiving provides premium smart home systems including hardware, software, installation services, and ongoing support specifically designed for the Tamale, Ghana market and climate conditions. Our services may include but are not limited to:

  • Smart home system design and consultation
  • Hardware and equipment installation
  • Software configuration and programming
  • System integration with third-party devices
  • Ongoing maintenance and technical support
  • System upgrades and additional installations

The specific services provided to you will be outlined in your service agreement or purchase order.

4. User Accounts

To use certain features of our Services, you may need to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Update your information to keep it accurate and current
  • Protect your account password and access credentials
  • Notify us immediately of any unauthorized use of your account
  • Take responsibility for all activities that occur under your account

We reserve the right to terminate or suspend accounts that violate these terms or that have been inactive for an extended period.

5. Payment and Billing

Payment terms for our products and services are as follows:

  • All prices are in Ghanaian Cedi (₵) unless otherwise specified
  • Payment for hardware and installation is due according to the schedule in your service agreement
  • Subscription services are billed in advance on a monthly or annual basis
  • Late payments may result in service interruption
  • Taxes and duties are not included in our listed prices and will be added where applicable

You agree to provide current, complete, and accurate billing information. We reserve the right to change our prices with 30 days' notice. Continued use of subscription services after a price change constitutes acceptance of the new price.

6. Installation and Hardware

For systems requiring professional installation:

  • You agree to provide our technicians with reasonable access to your property
  • You warrant that you have the legal right to authorize installations at the property
  • You understand that installation may require modifications to your property
  • You acknowledge that certain installations may be affected by your property's construction or existing infrastructure

Hardware provided by SmartLiving remains under warranty according to the terms of your purchase agreement. Unauthorized modifications to hardware may void warranties and could result in service interruptions or additional charges for repairs.

7. Intellectual Property

All content, software, and technology used in our Services are protected by intellectual property laws and are owned by SmartLiving or our licensors. This includes but is not limited to:

  • Software and firmware installed on devices
  • Mobile and web applications
  • Programming and automation sequences
  • Design elements and interfaces
  • Logos, trademarks, and branding

You are granted a limited, non-exclusive, non-transferable license to use our intellectual property solely for the purpose of using our Services as intended. You may not copy, modify, distribute, sell, or lease any part of our Services without our explicit permission.

8. Data and Privacy

Your privacy is important to us. Our data collection and processing practices are detailed in our Privacy Policy. By using our Services, you consent to our collection and use of data as described in that policy.

We implement reasonable security measures to protect your data, but no system is completely secure. You acknowledge that:

  • Internet and wireless transmissions are not completely private or secure
  • We cannot guarantee the security of data transmitted through our systems
  • You are responsible for maintaining the security of your local network
  • You should take precautions to protect sensitive information

9. Limitations of Liability

To the maximum extent permitted by law, SmartLiving shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our Services
  • Any unauthorized access to or use of our servers and/or personal information stored therein
  • Interruption or cessation of transmission to or from our Services
  • Any bugs, viruses, or other harmful code that may be transmitted through our Services
  • System failures or power outages beyond our control

Our total liability for any claims arising from these terms or your use of our Services shall not exceed the amount you have paid to SmartLiving in the preceding 12 months.

10. Service Availability and Maintenance

While we strive to provide continuous service, you acknowledge that:

  • Our Services may be subject to temporary unavailability due to maintenance or updates
  • Service quality may be affected by factors outside our control, including internet connectivity and power availability
  • We reserve the right to modify, suspend, or discontinue any part of our Services with or without notice
  • We will make reasonable efforts to notify you of scheduled maintenance that may affect your system

For critical systems, we recommend implementing backup solutions and contingency plans for potential service interruptions.

11. Termination

Either party may terminate the service agreement according to the terms specified therein. Additionally:

  • We may terminate or suspend your access to our Services immediately if you breach these Terms of Service
  • Upon termination, your right to use our Services will immediately cease
  • Provisions that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, and limitations of liability

If you wish to terminate your account, you may simply discontinue using our Services or contact our customer support for assistance with subscription cancellations.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located within Tamale, Ghana.

You agree that any claim or cause of action arising out of your use of our Services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
